Terms of Service

1. The Service

agnticr provides a platform of AI agents that plan, execute and improve recurring business work on your behalf, including approval gates, integrations with third-party tools, and a record of work performed.

We may update, add, or remove features at any time. We may also impose limits on certain features or restrict access to parts of the Service without notice or liability.

2. Eligibility and accounts

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the information you provide and for keeping your account credentials confidential.

You are responsible for all activity that occurs under your account, including the actions of any users, agents, or automations you authorize. Notify us immediately of any unauthorized use.

3. Acceptable use

You agree not to:

• use the Service in violation of any applicable law, regulation, or third-party right;
• upload or process content that is unlawful, infringing, defamatory, or harmful;
• attempt to gain unauthorized access to the Service, other accounts, or our systems;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, decompile, or attempt to extract source code, except where permitted by law;
• use the Service to build a competing product, or to train competing machine-learning models; or
• use the Service to send spam, malware, or to harass, abuse, or harm others.

4. AI-generated output and human oversight

The Service uses artificial intelligence to generate plans, messages, actions and other output (“Output”). AI output can be inaccurate, incomplete, or otherwise unsuitable. You are responsible for reviewing Output and for any actions taken by agents you authorize, including those executed through approval gates.

You must not rely on the Service as the sole basis for decisions that have legal, financial, medical, or safety consequences without appropriate human review. agnticr is a tool and does not provide professional, legal, financial, or other regulated advice.

5. Your content and data

You retain all rights to the data, documents, instructions and other materials you submit to the Service (“Customer Data”). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service and as otherwise permitted in our Privacy Policy.

You are responsible for ensuring you have the necessary rights and consents to submit Customer Data and to allow us to process it as described.

6. Third-party services

The Service integrates with third-party products and platforms (such as messaging providers, AI model providers, and the tools you connect). Your use of those services is governed by their terms, and we are not responsible for third-party services. Connecting a third-party service authorizes us to access and exchange data with it on your behalf.

7. Fees and payment

Paid plans are billed in advance on the cycle described at sign-up. Unless stated otherwise, fees are non-refundable and exclusive of taxes, which you are responsible for paying. We may change pricing on prospective notice; changes take effect on your next billing cycle.

If a payment fails or an account is past due, we may suspend or terminate access to the Service.

8. Beta and early-access features

We may offer features identified as beta, preview, or early access. These are provided “as is”, may be changed or discontinued at any time, and are excluded from any service commitments or warranties.

9. Intellectual property

The Service, including all software, content, and trademarks (other than Customer Data), is owned by agnticr or its licensors and is protected by intellectual-property laws. These Terms grant you a limited, revocable, non-exclusive, non-transferable right to use the Service. We reserve all rights not expressly granted.

If you provide feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction.

10. Confidentiality

Each party may receive non-public information of the other. The receiving party will protect such information with reasonable care and use it only to exercise its rights and perform its obligations under these Terms.

11. Term and termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users.

Upon termination, your right to use the Service ends. Sections that by their nature should survive (including ownership, disclaimers, limitation of liability, and governing law) will survive.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty regarding accuracy or reliability of Output. We do not warrant that the Service will be uninterrupted, secure, or error-free.

13. Limitation of liability

To the maximum extent permitted by law, agnticr and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Service will not exceed the greater of (a) the amounts you paid to us for the Service in the twelve months before the claim, or (b) EUR 100.

14. Indemnification

You will indemnify and hold harmless agnticr from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your Customer Data, your use of the Service, or your breach of these Terms.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or through the Service). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

16. Governing law and disputes

These Terms are governed by the laws of Sweden, without regard to conflict-of-law rules. The courts of Sweden will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, subject to any mandatory consumer-protection rights you may have.
